Non-Profit Organizations Committee

The Committee on Non-Profit Organizations addresses the legal problems of not-for-profit corporations and other nonprofit organizations, including corporate formation, federal and state tax issues, lobbying and political involvement, trustee duties and liability, charitable solicitations, and investments of financial assets.

Recent topics addressed by the Committee include reform of New York’s Not-for-Profit Corporation Law, issues surrounding the newly-adopted New York Prudent Management of Institutional Funds Act (NYPMIFA) including the need for all New York-formed nonprofits to adopt an investment policy, proposed rules by the SEC regarding registration of investment advisors that might have an adverse impact nonprofit directors and officers, the role of lawyers on nonprofit boards, program-related investments and alternative forms of quasi-nonprofit organizations, such as L3Cs and B Corporations.
