This panel will examine various issues related to preserving attorney-client privilege arising in the context of business combination transactions. The discussion will include strategies for protecting the privilege in connection with communications between acquirers and targets, communications between acquirers working together to purchase a target, and communications among members of the deal team when the team includes parties other than the client and attorneys, such as investment bankers, accountants, proxy solicitation firms, and other professionals. The panel will also address issues related to the control of the privilege, including conflict waivers, following the closing of a transaction. Speakers on the panel will consist of litigators, transactional lawyers, and in-house counsel.
