  • The proxy advisory firms Institutional Shareholder Services and Glass Lewis have great influence on public companies from determining best practices in matters of corporate governance and executive compensation to influencing the outcomes of both contested and uncontested elections of directors. This program will bring together representatives from the proxy advisors, law firms that represent public companies, institutional shareholders who rely on the advice of the proxy advisors, and legal academics to discuss the proper role of the proxy advisors in corporate governance, to explore how institutional shareholders weigh the advice of proxy advisors in their decision-making, and to consider how counsel to boards of directors of public companies should counsel their clients in relation to matters concerning proxy advisors.
