Model Form of Non-Disclosure Agreement

SUMMARY

The Committee on Corporation Law has prepared a model form of non-disclosure agreement to address the situation where one party (i.e., a buyer) has requested certain non-public information regarding another company (i.e., a target company) in connection with a potential transaction. The model agreement includes the conditions to furnishing such information.
